Terms of Service

1. Agreement

By creating an account or using GRAVITYOS AGENT, you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, please do not use the service.

If you are using GRAVITYOS AGENT on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

GRAVITYOS AGENT is an AI-powered platform for content creation, scheduling, publishing, analytics, and demand capture. Core capabilities include:

• AI-generated content strategy, scripts, and recommendations
• Video editing, repurposing, and multi-platform formatting
• Automated scheduling and publishing to social platforms
• Paid advertising campaign management and optimization
• Diagnostic tools, SEO content, and outreach sequences
• Performance analytics and cross-channel intelligence

Features available to you depend on your subscription tier.

3. Account Requirements

• You must be at least 18 years old to create an account.
• You must provide accurate, complete information during registration and keep it up to date.
• You are responsible for maintaining the security of your password and account.
• You are responsible for all activity that occurs under your account, whether or not you authorized it.
• You must notify us immediately at legal@gravityosagent.com if you suspect unauthorized access.

4. Subscription Plans and Billing

GRAVITYOS AGENT is available in the following subscription tiers:

• All payments are processed by a PCI-DSS compliant payment processor. We never store your credit card details.
• Subscriptions are billed monthly and renew automatically until cancelled.
• You may cancel at any time. Your access continues until the end of your current billing period.
• We offer a 14-day money-back guarantee on new subscriptions. If you are not satisfied, contact support within 14 days of your first payment for a full refund.

5. Resource Allowances and Booster Packs

• Each plan includes specific resource allowances (posts per month, video renders, AI generations, team seats, connected brands, etc.).
• If you exceed an allowance, the affected feature pauses until you purchase a booster pack or your allowances reset at the start of the next billing period.
• Booster packs are one-time purchases that add resources to the current billing period. They are non-refundable and expire at the end of the billing period.
• There are no overage charges. You will never be billed more than your subscription fee plus any booster packs you purchase.

6. Upgrades

• You may upgrade your subscription tier at any time from your Settings page. Upgrades take effect immediately.
• When you upgrade mid-billing period, you are charged a prorated amount for the remainder of the current period at the new tier's rate.
• All your existing data, content, and configurations are preserved during an upgrade. New features become available immediately.

7. Downgrades

• If you downgrade to a lower tier, all your data is preserved. We never delete anything on a downgrade.
• Excess brands (beyond the new tier's limit) are suspended, not deleted. Excess team member access is revoked.
• Features above your new tier become inaccessible but remain visible (greyed out) so you can upgrade to restore access at any time.
• Content already scheduled within 7 days of the downgrade is honored and published as planned.
• The downgrade takes effect at the start of your next billing period. You retain full access to your current tier until then.

8. Free Trial

If we offer a free trial, the following terms apply:

• Free trials provide limited access to ADGENIUS Starter features for the duration specified at signup.
• A valid payment method is required to start a free trial. You will not be charged until the trial period ends.
• If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the rate shown at signup.
• Free trial availability, duration, and features may change at our discretion.

9. AI-Generated Content

• Content generated by AI requires your review and approval before publishing. Nothing is published automatically without your explicit approval.
• You are responsible for verifying the accuracy, appropriateness, and platform compliance of all content you approve.
• AI-generated content may contain errors, inaccuracies, or content that does not reflect your views. The approval step exists specifically for you to exercise editorial judgment.
• We are not liable for any consequences arising from content you approve and publish, including but not limited to claims of defamation, intellectual property infringement, or regulatory violations.

10. Social Media Platform Compliance

You are responsible for complying with each social media platform's terms of service and community guidelines. We provide automated compliance checks as a helpful tool, but we do not guarantee that content will comply with all platform-specific policies. Platforms may change their policies at any time without notice to us.

If a platform suspends or bans your account due to content published through GRAVITYOS AGENT, we are not liable for any resulting damages or losses.

11. Data Ownership and Intellectual Property

• Your content: You retain full ownership of all content, raw footage, brand assets, and business data you create or upload to GRAVITYOS AGENT. We do not claim any intellectual property rights to your content.
• Our platform: GRAVITYOS AGENT, including its software, design, algorithms, AI agents, user interface, documentation, and all related intellectual property, is owned by us and protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your business purposes during your subscription term.
• Aggregated data: We may use anonymized, aggregated performance data (never identifying your business) to improve the service and provide cross-client intelligence features. See our Privacy Policy for details.
• Feedback: If you provide feedback, suggestions, or ideas about the service, we may use them without restriction or obligation to compensate you.

12. Agency Tier Terms

• Agency-tier users manage client brands on behalf of their clients.
• You are responsible for obtaining all necessary permissions from your clients before connecting their social accounts, creating content, or publishing on their behalf.
• You represent and warrant that you have legal authority to act on behalf of each client whose brand you manage.
• Each client brand is fully isolated. Clients never see each other's data.
• You are responsible for ensuring your clients are aware of and consent to the data practices described in our Privacy Policy.

13. White-Label Terms

• White-label features provide cosmetic customization (logos, colors, report branding) for agency-tier users.
• You may not represent the underlying platform as your own proprietary technology in a manner that is misleading to your clients.
• White-label branding does not transfer any intellectual property rights in the platform to you.

14. Acceptable Use

You agree not to use GRAVITYOS AGENT to:

• Create, distribute, or promote illegal, defamatory, harassing, threatening, or discriminatory content
• Send spam or unsolicited bulk communications
• Circumvent usage limits, scrape the platform, or engage in automated abuse
• Impersonate another person or entity, or misrepresent your affiliation
• Upload malware, viruses, or any code designed to disrupt the service
• Attempt to access other users' accounts or data without authorization
• Reverse engineer, decompile, or disassemble any part of the platform
• Use the service in any way that violates applicable local, state, national, or international law

We reserve the right to suspend or terminate accounts that violate these rules, with notice where feasible. In cases of severe violations (fraud, malware, illegal activity), we may suspend access immediately without prior notice.

15. Uptime and Availability

We target 99.5% uptime for the GRAVITYOS AGENT platform, measured on a monthly basis, excluding scheduled maintenance windows. However, we do not guarantee uninterrupted, error-free service. Scheduled maintenance windows will be communicated in advance when possible.

Third-party service availability (social media platforms, AI providers, video rendering, payment processing) is outside our control. If a third-party service experiences downtime, affected features may be temporarily unavailable without constituting a breach of these Terms.

16. Limitation of Liability

To the maximum extent permitted by applicable law, GRAVITYOS AGENT and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the service.

Our total aggregate liability for any claims arising from your use of GRAVITYOS AGENT shall not exceed the total amount you paid us in the 12 months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless GRAVITYOS AGENT and its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Content you approve and publish through the service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Your use of the service in a manner not authorized by these Terms
• Claims by your clients (for agency-tier users) related to content or services you provide using the platform

18. Termination

• Termination by you: You may cancel your subscription at any time from your Settings page. Access continues until the end of your current billing period.
• Termination by us: We may suspend or terminate your account if you materially violate these Terms. Where feasible, we will provide 14 days written notice before termination, except in cases of severe violations (fraud, illegal activity, security threats) where immediate suspension may be necessary.
• Effect of termination: Upon termination, your data is retained for 30 days (see our Privacy Policy for details) and then permanently deleted. You may export your data during this 30-day period.
• Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, Data Ownership, and Governing Law) will survive.

19. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, utility failures, internet outages, cyberattacks, or third-party service provider outages. We will use reasonable efforts to mitigate the impact of any such event and resume normal service as soon as practicable.

20. Data Processing and GDPR

If you are subject to the General Data Protection Regulation (GDPR) and GRAVITYOS AGENT processes personal data on your behalf, we act as a data processor under your instructions. A Data Processing Agreement (DPA) is available upon request by contacting legal@gravityosagent.com.

Our DPA covers: the scope and purpose of processing, data subject rights, sub-processor management, security measures, breach notification procedures, and data deletion upon termination.

21. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the service shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration in Ontario, Canada, or pursue resolution in the courts located in Ontario, Canada.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GRAVITYOS AGENT regarding your use of the service. These Terms supersede any prior agreements, communications, or understandings, whether written or oral, relating to the subject matter of these Terms.

24. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before they take effect. Non-material changes (such as formatting or clarifications) may be made without advance notice. Continued use of the service after the effective date of any changes constitutes your acceptance of the updated Terms.

If you do not agree with the updated Terms, you may cancel your subscription before the changes take effect.
